TERMS AND CONDITIONS
ASIA BUSINESS HQ (ABHQ) HONG KONG OFFICE SERVICE PACKAGES AGREEMENT

FACILITIES AND SERVICES

1. In consideration of the payment by the Client of the Plan Fee specified, ABHQ permits the Client to share with ABHQ the use of the services described in this agreement,

2. ABHQ agrees to provide the Services from the term Commencement Date specified until determined in accordance with the provisions of this Agreement

3. Plan Fee Inclusions
a. ABHQ provides to the Client the following services on Virtual Office Plan A -the right to use ABHQ’s business address on your company stationery -collection of mail -reception service
b. ABHQ provides to the Client the following services on Virtual Office Plan B -All items in 3a. -dedicated telephone number -personalized telephone answering under your company -call forwarding
c. ABHQ provides to the Client the following services on the Hotdesk Facility -All items in 3a and 3b. -Facsimile number -Internet connections from workstation - 8 hours per month use of workstation subject to availability -8 hours per month use of meeting room subject to availability
d. ABHQ provides to the Client the following services on the Serviced Office -All items in 3a and 3b -facsimile number -internet connections from workstation -full use of workstation -full use of meeting room

4. The following Services are available in accordance with our published rates that may be updated by ABHQ from time to time -secretarial services -facsimile -courier services -office supplies -travel arrangements -translations -meeting room -mail handling -food & beverage service -ISDN -photocopying -short term unit hire -messaging -secretarial support -binding service -other services that may be provided by ABHQ to the Client

PAYMENT, DURATION AND TERMINATION

5. The Client shall, for the duration of this Agreement pay by the due date on the Invoice (and by monthly direct debit if required) the Plan Fee specified. The first proportionate payment to be made on the signing of this Agreement in respect of the period from the term Commencement Date

6. The client shall:
a. pay on demand to ABHQ (by monthly direct debit if required or credit card) the charges made by ABHQ from time to time for all voice and data telecommunication services where applicable and for the use of facsimile, photocopying, secretarial, meeting facilities, internet facilities and other services in the Centre of which use is made by the Client
b. pay to ABHQ interest at the rate of 20% per annum on any sum payable under this Agreement which remains unpaid for 7 days from the due date such interest in that event being calculated from the due date to the date of payment
c. pay all sums due to ABHQ under this Agreement without any deduction or set off
d. pay for all bank charges, exchange rate differences, currency adjustments and other such charges related to rental and services
e. any amount payable by the client under this Agreement shall be exclusive of GST. If any supply made by ABHQ under this Agreement (including supply of the right to occupy a unit and the supply of the general services or any other rights, goods, services, benefits or other things) is a “Taxable Supply”, ABHQ must provide the Client with a valid invoice usable for taxation purposes (Tax Invoice) and the Client must pay an additional amount to TEC which: i) is equal to the consideration payable by the Client for relevant supply multiplied by the prevailing GST rate II) is payable at the same time and in the same manner as the consideration for the supply to which the additional amount relates

7. Deposit
a. The Client has paid to ABHQ the Deposit specified (“the Deposit”) as security against all obligations entered into by the Client in this Agreement such Deposit to be returned to the Client within thirty days of the expiry of this Agreement Provided that the Client has complied with its obligations under this Agreement
b. If the cost of the monthly services provided to the Client by ABHQ from time to time exceeds 50% of the Deposit, if required by ABHQ the Client shall increase the Deposit by up to 50% of such sum on demand
c. In the event of any withdrawal from the Deposit by ABHQ due to any default of the Client, the Client shall replace any such sum withdrawn within 14 days of being notified of such withdrawal.

8. Terminations
a. This Agreement may be terminated forthwith in the event of any breach of the obligations on the part of the Client. ABHQ shall be entitled (but not obliged) to retain any personal effects or other belongings of the Client until all arrears owed to ABHQ have been paid or other loss made good and in the event of non-payment within 14 days. ABHQ shall be entitled to dispose of any goods retained in settlement of any arrears and any costs of disposal
b. should the Client terminate the Agreement it may be do so upon giving of one month’s notice of its intention
c. should the Client terminate the Agreement without giving at least one month’s notice, the Deposit will thus be forfeited and outstanding invoices must be paid

CLIENT’S RIGHTS AND RESPONSIBILITIES

9. The Client shall not:
a. impede or interfere with ABHQ’s right of possession and control of the Centre
b. Use the Centre otherwise than for the Client’s business and in any event shall not permit the Centre of Services provided to be used for any illegal activity
c. interfere with the conduct of ABHQ’s business and during the period of this Agreement and for six months thereafter shall not offer employment to or hire directly or indirectly any staff of ABHQ. Without prejudice to any rights or remedies that ABHQ may have for any breach of the foregoing if the Client shall employ directly or indirectly any member of ABHQ’s staff during such period the Client shall pay to ABHQ within 7 days of the said member of staff commencing his or her new employment or hire a recruitment fee equal to 50% of the said first year gross salary or hire costs including guaranteed bonuses or benefits in kind
d. damage any of the decorations, fixtures and fittings or other equipment in the Centre
e. Be entitled to any compensation as a result of any failure of data security or computer systems or as a result of ABHQ failing to provide any of the Services in accordance with this Agreement as a result of any breakdown or strike or delay or failure of any staff, manager or caretaker to perform their duties

10. The Client shall:
a. observe and adhere to all the rules and regulations from time to time made by ABHQ for the management of the Centre b. Indemnify ABHQ and its respective officers, employees and agents, from all claims, liability, or loss, and all damages and costs incurred by ABHQ which arise out of the use of the Centre by the client. The Client shall maintain adequate insurance against all such risks
c. ABHQ is not responsible for the theft or damage to any equipment, chattels or goods

OWNER’S RIGHTS AND RESPONSIBILITIES

11. ABHQ shall:
a. Provide reception and switchboard services during normal opening hours, which shall mean between 09.00 and 18.00 hours Monday to Friday (excluding official public holidays)
b. Not be under liability for failure to have any of the Centre facilities available for the Client because of use by any other person within the Centre and ABHQ shall not be liable to the Client if for any temporary reason the Client shall be unable to obtain access to the Centre.

GENERAL

12. This Agreement is personal to the Client and is not assignable

13. All notices must be in writing. Notices to the Client will be considered served if handed personally to one of the Client’s staff. Notices to ABHQ will be considered serviced if mailed by registered or recorded mail, postage prepaid to ABHQ at ABHQ’s address or such other address as ABHQ shall designate to the Client in writing

14. The invalidity or unenforceability of any provision of this Agreement shall not affect or impair the validity of any other provision. No waver of any default of the Client shall be implied from any failure by ABHQ to take action with respect to such default.

15. Where the Client comprises more than one individual such individuals shall be jointly and severally liable to observe and perform the Client’s obligations under this Agreement

16. This Agreement supersedes any prior agreement and embodies the entire agreement between the Client and ABHQ and may not be modified, changed or altered in any way excepted as agreed by both parties in writing. This Agreement shall be interpreted and enforced in accordance with the national, regional and local laws in which the Centre is located.

The Client confirms having read and agreed to all the terms and conditions.
